General Conditions of Sale

1. Purpose

These General Conditions of Sale (GCS) are intended to define the conditions applicable to the sale of services offered by Beee Agency, a micro-enterprise specialising in website creation and digital solutions.

Any order implies the customer's complete and unreserved acceptance of these GCS.

2. Services offered

Beee Agency offers the following services (non-exhaustive list):

  • Design and development of websites (showcase sites, multi-page sites, etc.)
  • Redesign of existing sites
  • Web design, UI/UX, visual identity
  • SEO optimisation and visibility advice
  • Maintenance, hosting, technical support
  • Digital strategy consulting

Services are described either in a predefined offer available on the Site, or in a personalised quote accepted by the customer before any execution.

3. Orders and quotes

Beee Agency services can be ordered in two ways:

  • Online orders: certain predefined offers can be ordered directly from the Site. www.beee.agency. In this case, the order is considered firm upon receipt of payment, and constitutes unreserved acceptance of these GCS.
  • Personalised quote: for bespoke services, a quote is prepared at the customer's request. It is valid for 30 days from its date of issue. The order becomes firm upon signature of the quote with the mention 'Approved' and/or payment of the deposit, if provided for.

In both cases, the order definitively commits the customer and implies full and complete acceptance of these General Conditions of Sale.

4. Prices and payment terms

Prices are expressed in euros excluding VAT, unless otherwise stated. The applicable VAT is that in force on the day of invoicing.

Unless otherwise specified:

  • 50% deposit is required upon ordering
  • The balance is payable upon delivery or according to the schedule indicated in the quote
  • Payment is made by bank transfer, Stripe, or any other means accepted by Beee Agency

Any late payment gives rise, by right and without prior notice, to the application of penalties set at 3 times the legal interest rate, as well as a flat-rate recovery indemnity of €40 (article D.441-5 of the Commercial Code).

5. Execution deadlines

The delivery times indicated are given for information only. Beee Agency undertakes to make its best efforts to meet the agreed deadlines, subject to the active collaboration of the customer (transmission of content, validations, etc.).

Any delay attributable to the customer may result in a postponement of the initial schedule, without penalty for Beee Agency.

6. Customer obligations

The customer undertakes to:

  • Provide all information necessary for the completion of the service within the agreed deadlines
  • Validate each stage of the project within a reasonable time
  • Have the necessary rights to the elements provided to Beee Agency (texts, images, logos, etc.)

The customer is solely responsible for the content published on their site or delivered tool.

7. Intellectual property

By default, Beee Agency remains the owner of the intellectual rights to its creations until full payment of the service.

After complete payment, usage or ownership rights are transferred to the customer within the limits specified in the quote or contract.

Beee Agency reserves the right to mention its achievements for communication or portfolio purposes.

8. References and right of citation

Unless the customer objects in writing, Beee Agency may mention the customer's name, logo and a screenshot of the completed service on its communication media (website, social networks, portfolio).

9. Warranty and maintenance

The delivered services are guaranteed to conform to the validated specifications. Any technical anomaly reported within 30 days following delivery will be corrected free of charge, within the limits of what is included in the quote or contract.

Any evolution, addition of functionalities or ongoing maintenance will be the subject of a separate commercial proposal.

10. Liability

Beee Agency is subject to an obligation of means. It cannot be held responsible for indirect damages, loss of data or turnover linked to the use or inability to use the delivered service.

11. Termination

In case of serious breach by either party of its contractual obligations, the contract may be terminated by right after formal notice remaining unsuccessful within 15 days.

In case of termination at the customer's initiative without fault by Beee Agency, the sums already paid will remain acquired by the latter.

12. Personal data

As part of its services, Beee Agency may be required to process personal data on behalf of its customers. It undertakes to comply with the legislation in force, in particular the General Data Protection Regulation (GDPR).

A privacy policy is available for this purpose.

13. Force majeure

Beee Agency cannot be held responsible for a breach of its obligations in case of force majeure (e.g.: strike, fire, natural disaster, power or internet outage, etc.).

14. Applicable law – Disputes

These GCS are governed by French law.

In case of dispute, the parties undertake to seek an amicable solution. Failing this, the dispute will be submitted to the competent courts of the jurisdiction of Beee Agency's registered office.
